Advised the Transaction Committee of the Board of Directors of SLM Corporation, commonly known as Sallie Mae, on the sale to a consortium consisting of J.C. Flowers, Friedman Fleischer & Lowe, Bank of America and JPMorgan Chase

Refco
Acted as the exclusive financial advisor to Refco Inc. in connection with its Chapter 11 proceedings which included the sale of substantially all of the assets of Refco's regulated commodities futures business to Man Financial for $1.2 billion

Blue Owl Technology Finance Corp. II (“OTF II”)

Advised and provided a fairness opinion to the Special Committee of the Independent Directors of OTF II, a specialty finance company focused on originating and making loans to, and making debt and equity investment in, technology related companies, specifically software, based primarily in the US, on its merger with OTF

Milton Corporation

Adviser to Milton Corporation on its merger with Washington H. Soul Pattinson effected via scheme of arrangement

Conseco, Inc.
Advised the Official Committee of Unsecured Creditors of Conseco, Inc., a life insurance and annuities company, on the financial restructuring of the Company’s $6 billion of externally held financial indebtedness

Target Corporation’s REDcard credit card assets

Advised The Toronto-Dominion Bank Group on its acquisition of Target Corporation’s REDcard credit card assets

Ceridian Corporation

Acted as sole financial adviser to Ceridian Corporation, an information services provider to the human resource, transportation and retail markets, on its sale to Thomas H. Lee Partners and Fidelity National Financial

Nikko Cordial Corporation

Advised Nikko Cordial, one of Japan’s largest securities firms, on its share exchange with Citigroup Inc., which resulted in Citigroup’s acquisition of the remaining 32% of Nikko Cordial that it did not already own

Prudential Financial, Inc.

Advised Wells Fargo on the acquisition of Prudential Financial’s noncontrolling interest in their retail brokerage Joint Venture

Heartland Payment Systems, Inc.

Advised Heartland Payment Systems, Inc., one of the nation’s largest payment companies, on its sale to Global Payments Inc., a leading worldwide provider of payment technology services

M&G Group plc

Advised M&G Group on the sale of the company for cash to Prudential, the United Kingdom’s largest life insurer and fund manager.

Frank Russell Company

Advised LSEG on the proposed acquisition of Frank Russell Company, the number one provider of benchmarks to US-focused equity funds and a leading provider of multi-asset class investment solutions, from Northwestern Mutual Life Insurance Company, including acting as Joint Sponsor to LSEG on its $1.6 billion rights issue

Advised The Toronto-Dominion Bank Group on its acquisition of Nordstrom, Inc.’s credit card assets

BHW Holding AG

Advised BHW Holding AG, a retail financial services group, in connection with its sale to Deutsche Postbank AG, Germany’s largest retail bank

PARIS RE Holdings Ltd.

Advised PartnerRe Ltd., a leading global reinsurer, providing multi-line reinsurance to insurance companies, on its acquisition of PARIS RE Holdings Ltd., a French-listed, Swiss-based diversified reinsurer

Bank of America Corporation
Advised AXA Private Equity, a leading European diversified private equity firm, on the acquisition of a portfolio of limited partnership interests in private equity funds from Bank of America

TOWER Australia Group Limited

Advised TOWER Australia Group Limited, the largest mono-line life insurance company in Australia, in relation to the offer from The Dai-ichi Life Insurance Company, Limited to acquire all of the shares in TOWER that it does not already own by way of a scheme of arrangement

Advised AXA Private Equity, a leading European diversified private equity firm, on its acquisition of a $1.7 billion portfolio of limited partnership interests in private equity buyout funds and a portfolio of direct stakes in companies from Citigroup

IPC Holdings, Ltd.

Advised Validus Holdings, Ltd., a leading Bermuda-based reinsurer, on its offer to acquire IPC Holdings, Ltd.

Northern Rock

Advised Virgin Money, a financial services provider, on the acquisition of Northern Rock, a UK retail mortgage and savings bank, from UK Financial Investments Ltd, which manages the UK Government’s investments in financial institutions

Ambac Financial Group, Inc.
Advised a consortium of leading global financial institutions and investors, including but not limited to Banc of America Securities LLC; Citigroup Global Markets Inc.; Dresdner Kleinwort Securities LLC; Keefe, Bruyette & Woods, Inc.; and UBS Securities LLC, on its participation in a recapitalization of Ambac Financial Group, Inc.
