Sell-side Advisory
Leveraging our network of experienced Managing Directors, we have a strong track record in sell side advisory roles. Acting for target companies, special board committees or selling shareholders, we can operate at the heart of any process, assist in negotiations and provide incisive and deeply informed advice about the merits of bids received.
Buy-side Advisory
We have a strong record of successful buy side advisory assignments in relation to public or private target companies and are able to advise interested buyers on attractive targets through our global network of relationships.
Merger Advisory
Greenhill is well qualified to assist clients on merger transactions given the long experience of its partners and professionals, an assurance of total discretion. Greenhill has a number of sizeable mergers in its list of completed transactions both in the US and internationally.
Special Advisory
Various advisory work that we undertake does not fit a conventional ‘transaction’ definition. Examples include our work advising the Australian National Rugby League Commission on the sale of television broadcast rights and work for the global partnership of Arthur Andersen in the immediate aftermath of the cases that followed the collapse of Enron. We believe that Greenhill’s experience, expertise and discretion positions us well for special advisory assignments.

NewSmith Capital

Advised NewSmith Capital, an independent investment management group, on a strategic agreement with UniCredit whereby UniCredit will acquire NewSmith’s Financial Products credit advisory business, assume a 5% stake in NewSmith Capital and become an investor in NewSmith funds

THUS Group plc

Advised THUS Group plc, a fixed line business telecommunications provider, on a cash offer from Cable & Wireless plc

Applied Biosystems Group

Provided fairness opinion to the Board of Directors of the Applera Corporation on the merger of its Applied Biosystems business, which serves the life science industry, with the Invitrogen Corporation, creating a global leader in biotechnology reagents and systems

Dobbies Garden Centres plc

Advised Tesco plc in relation to its public cash offer to acquire the 35% of Dobbies Garden Centres plc which it does not already own

Wendy's International, Inc.

Advised the special committee of the board of directors in connection with its merger with Triarc Companies, Inc., the operator of the Arby’s franchise. The combined systems will have approximately 10,000 restaurant units and pro forma annual system sales of approximately $12.5 billion, positioning it as the nation’s third largest quick service restaurant company

Northwest Airlines

Advised Delta Air Lines in connection with its merger with Northwest Airlines (+Transaction value represents enterprise value of combined entity)

Clayton Holdings, Inc.

Advised Greenfield Partners on its acquisition of Clayton Holdings, a leading due diligence and surveillance provider

Advised Hancock Timber Resource Group, the largest global timber investment management organization, on its acquisition of TimberStar Southwest, which owns and manages 900,000 acres of timberlands located in Arkansas, Louisiana and Texas
